WHEREAS, Property Help Services LLC, operating under the trade name Property Matters 24/7 ("PM247"), is a referral services company that connects property owners experiencing damage with restoration contractors; WHEREAS, Contractor is a licensed, insured restoration professional seeking qualified inbound leads from property owners experiencing fire, water, mold, or related property damage; WHEREAS, PM247 and Contractor desire to enter into this Agreement to define the terms under which PM247 will provide referral leads to Contractor in exchange for a referral fee; NOW THEREFORE, in consideration of the mutual covenants set forth herein, the parties agree as follows:
PM247 is a referral service only. PM247 is NOT a contractor, does NOT perform any restoration, remediation, or repair work, and does NOT employ or subcontract any field technicians. PM247 connects property owners with contractors and charges a referral fee for this service exclusively.
Nothing in this Agreement shall be construed to create an employment, partnership, joint venture, or agency relationship between PM247 and Contractor. Contractor is an independent business entity solely responsible for all work performed at the referred property.
PM247 does not represent the homeowner, does not negotiate on their behalf, and makes no warranties regarding the homeowner's willingness to proceed, insurance coverage, or ultimate job value.
A "Qualified Lead" is defined as a referral meeting ALL of the following objective criteria:
PM247 will apply a commercially reasonable, good-faith determination as to whether a lead meets the Qualified Lead definition. Contractor disputes must be submitted in writing within five (5) business days of lead delivery.
All lead fees are flat rates. No percentage-of-job or percentage-of-claim pricing applies under this Agreement.

Payment is due immediately upon lead acceptance via the PM247 secure payment portal. Homeowner contact information is released upon confirmed payment only.
PM247 may, at its sole discretion, offer Contractor one complimentary lead as an introductory offer. All subsequent leads are subject to the pricing schedule above.
Each lead is sold exclusively to one Contractor. The first Contractor to complete payment is assigned the lead exclusively. All other Contractors are immediately locked out upon payment confirmation.
Upon confirmed payment, PM247 will deliver: homeowner full name, property address, primary contact phone number, damage type and severity, property size and estimated value from public records, insurance status as reported, and best contact time.
PM247 will send Contractor an email and text confirming lead delivery within 5 minutes of payment. Delivery confirmation constitutes complete and final delivery.
Contractor agrees to contact the referred homeowner within 60 minutes of lead delivery. Failure to make contact does not constitute grounds for a refund.
By executing this Agreement, Contractor represents and warrants that:
Contractor shall indemnify, defend, and hold harmless PM247, its members, managers, employees, agents, and affiliates from any claims, damages, losses, costs, and expenses (including attorney's fees) arising out of or related to:
PM247's total liability shall not exceed the greater of: (a) total lead fees paid by Contractor in the 30 days preceding the claim, or (b) $10,000. PM247 shall not be liable for indirect, incidental, consequential, or punitive damages. This limitation does not apply to indemnification obligations or confidentiality breaches.
Any dispute regarding lead quality must be submitted in writing to propertymatters24seven@gmail.com within five (5) business days of lead delivery. PM247 will apply a commercially reasonable, good-faith review within 5 business days.
Initiating a chargeback or payment reversal for a lead delivered in accordance with this Agreement, without first submitting a of this Agreement. In the event of an improper chargeback, PM247 reserves the right to immediately terminate Contractor's network access, pursue recovery of all disputed amounts plus collection costs, and pursue all available legal remedies in Seminole County, Florida.
PM247 maintains complete records of all transactions including call recordings, payment confirmations, and lead delivery data. This documentation will be submitted in full in any dispute or legal proceeding.
This Agreement shall be governed by the laws of the State of Florida. Any legal action shall be brought exclusively in Seminole County, Florida. The prevailing party shall be entitled to recover reasonable attorney's fees and costs.
Contractor agrees to keep all homeowner information received through PM247 strictly confidential. Contractor shall not sell, share, transfer, or use homeowner contact information for any purpose other than the specific referred engagement. Contractor shall implement reasonable safeguards to protect homeowner data consistent with applicable law.
This Agreement commences on the date of Contractor's electronic signature and continues until terminated by either party with 30 days written notice.
PM247 reserves the right to terminate immediately if Contractor: initiates a chargeback after lead delivery, misrepresents PM247 to homeowners, loses required licenses or insurance, engages in fraudulent or unethical conduct, or breaches any material term of this Agreement.
Upon termination, all outstanding payment obligations remain due. The confidentiality, indemnification, and dispute resolution provisions survive termination indefinitely.
This Agreement may be executed electronically with full legal effect pursuant to the E-SIGN Act and Florida Statute Section 668.50. This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations and agreements. Modifications require written agreement by both parties.
